Approach

  • Clarification of medium-term business objectives;
  • Scouting: research and evaluation of potential target entities, including preliminary assessment of publicly available data and valuation of the initial financial situation;
  • Preliminary contacts with target companies to assess their openness to an acquisition, signing of a Non-Disclosure Agreement (NDA) and meetings with target companies for shared intentions and discussion of the operation;
  • Preparation of an economic-financial plan predicting the integration of the target and an evaluation report to negotiate the correct value of the operation with the counterpart;
  • Due Diligence and Negotiation phase: signing of a Letter of Intent (LOI) and commencement of Due Diligence activities (financial, tax, legal, and labor), with the coordination of specific professional experts in these areas;
  • Structuring and negotiating the acquisition with the support of the external legal team;
  • Closing and initial post-merger activities: integration of the target entity, including organizational adjustments and IT systems alignment;
  • Monitoring of the economic-financial plan related to the operation.
